1. Introduction

Welcome to EzTakeoff ("we," "us," or "our"). By accessing or using our software at anz.eztakeoff.app, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Nature of Service (Disclaimer of Accuracy)

IMPORTANT: EzTakeoff is an estimation and takeoff tool designed to assist subcontractors. While we strive for accuracy, you acknowledge that software-generated measurements, counts, and calculations are estimates only.

• Verification: You are solely responsible for verifying all dimensions, quantities, and costs before submitting any tenders, quotes, or bids based on data from EzTakeoff.
• Liability: EzTakeoff is not liable for any financial losses, under-quoting, material shortages, or project errors resulting from the use of our tools.

3. User Obligations

You agree to use EzTakeoff for lawful business purposes only. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to upload any plans, blueprints, or documents ("User Content") to the service.

4. User Content License & AI Training

You retain ownership of all User Content you upload. However, by using EzTakeoff, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and analyse your User Content for the limited purpose of:

1. Providing the Service to you; and
2. Improving our algorithms and training our machine learning models to enhance the accuracy of future automated takeoffs.

We will strictly use anonymized and aggregated data for training purposes. Your proprietary blueprints and specific project details will not be shared publicly.

5. AI & Automated Features Disclaimer

EzTakeoff may utilize artificial intelligence (AI) and machine learning to assist with identifying objects or suggesting measurements.

• No Guarantee of Accuracy: You acknowledge that AI-generated suggestions are experimental and may contain errors, false positives, or inaccuracies.
• Human Verification Required: You must strictly verify all AI-generated outputs. EzTakeoff is an assistive tool, not a substitute for professional judgment. We accept no liability for any reliance on AI features.

6. Subscription and Payment

• Billing: Services are billed on a subscription basis.
• New Zealand Customers: Prices may be subject to GST (15%) if applicable.
• Australian Customers: Services are treated as exported services from New Zealand and are currently GST-exempt under cross-border rules (subject to turnover thresholds).
• Refunds: No refunds are provided for partial months of service unless required by the Consumer Guarantees Act 1993 (NZ) or Australian Consumer Law.

7. Limitation of Liability

To the maximum extent permitted by law, our liability for any claim related to the service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for any indirect, special, or consequential damages (including loss of profits, business contracts, or reputation).

8. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.
